THE FRIEND OF THE HEARTH ASSOCIATE PROGRAM: Letter of Intent
Outlined below is a Letter of Intent explaining the expectations behind a Friend of the Hearth Associate arrangement between the party listed below (Associate) and The Open Hearth Foundation, Inc. (OHF) - a nonprofit 501(c)(3) corporation based in Sterling, Virginia.
1) By completing this form, the individual representing the Associate certifies its intent to enter into this arrangement subject to the approval of the OHF, that he or she has express contract authority for the Associate, and that he or she is at least 18 years of age.
2) By completing this form, the Associate certifies it maintains a physical store-front or other point of sale at which it can receive and inspect Friend of the Hearth (FrOTH) membership cards as part of a FrOTH discount program.
3) If the Associate does not maintain a permanent place of business at which it physically receives customers, the Associate also certifies as a condition of this arrangement that it will maintain an up-to-date website clearly explaining the physical location(s) where its services can next be purchased and the discount exercised.
4) As an Associate, the Associate understands that it will be eligible at its discretion to purchase an "Open-Level" Sponsorship with the OHF for half the annual donation rate ($150 instead of $300) subject to the OHF’s Banner Policies.
5) The OHF will list the Associate on its web site (www.openhearth.org) for as long as this arrangement is in effect. Such listing will include the Associate’s name, physical address and/or web site, and the level of discount offered.
6) The OHF will mention the Associate at least once on its email announcement list (which currently has over 1,100 subscribers). This email mention will include at least the Associate’s name, URL (if any), and level of discount offered.
7) The OHF will provide a special "Friend of the Hearth Associate" graphic that the Associate may at its discretion include on its own web site(s) as long as this graphic is also targeted to the OHF's "Friend of the Hearth Associate" certification page.
8) Outside the context of the Friend of the Hearth Associate Program, the Associate will not use the name, slogans, copyrighted language, marks or trade-dress of the OHF without the express prior permission of the OHF Board of Governors’ Chair.
9) The OHF will take steps to immediately provide the Associate with a sample Friend
of the Hearth card via the regular mail so that it may recognize such cards when they are presented by OHF members to exercise the discount.
10) The Associate will offer a 10% discount as specified in this Letter of Intent on all its goods and services to individuals presenting a current and valid Friend of the Hearth membership card issued from The Open Hearth Foundation.
11) The Associate will apply this discount "across the board" on all the goods and services under its control and offered for sale. This discount may only be limited at the discretion of the Associate in the following circumstances:
a) At the time the card is presented, the Associate no longer participates as a Friend of the Hearth Associate.
b) The products, services, or admissions have already been discounted by another sale, coupon, or special offer.
c) The products are on consignment, and the seller of such consignment products is not also at the time a Friend of the Hearth Associate.
d) The card, on its face, is an obvious forgery.
e) The card displays an expiration date, and this date has passed.
f) The discount being sought is for previously made (past) purchases or online purchases.
g) The discount is prohibited by law, regulation, or other legal limit.
12) If the Associate declines to offer the discount for any of the reasons above, it will explain to the customer why the discount is unavailable at the time of the decline.
13) Both the OHF and the Associate can end this arrangement at any time by providing timely notice to the other.
14) The Associate understands that the OHF makes no representations as to whether or not discounts offered in connection with this program can be considered tax-deductible, and encourages the Associate to consult its own tax/legal counsel if it wishes a determination.
15) Both the OHF and the Associate will stay in touch with each other as needed in order to quickly address any problems or concerns that may arise in connection with this arrangement.
